These Terms and Conditions constitute a legally binding agreement between you (“the Buyer”) and Derby Shutters (“the Seller”) in relation to the access, use, and purchase of Goods and/or Services provided via the Seller’s website. By placing an order or otherwise interacting with the Seller’s platform, the Buyer acknowledges and agrees to be bound by these Terms and Conditions in full. If the Buyer does not agree to these terms, they must refrain from accessing or using this website.
“Buyer” means any individual, firm, or company placing an order for Goods and/or Services with the Seller.
“Seller” refers to Derby Shutters.
“Goods” means the custom-made window shutters or related items provided by the Seller.
2.1 All quotations issued by the Seller are non-binding and subject to withdrawal or amendment without prior notice unless confirmed in writing.
2.2 All quotations shall remain valid for thirty (30) calendar days from the date of issue, unless otherwise specified in writing by the Seller.
3.1 All prices are quoted in Pounds Sterling (£) and shall be deemed to include Value Added Tax (VAT) at the prevailing rate, unless otherwise indicated.
3.2 The Buyer shall remit a non-refundable deposit of fifty percent (50%) of the total order value upon confirmation of the order. For orders exceeding four thousand pounds (£4,000), the deposit shall be sixty-five percent (65%).
3.3 The outstanding balance shall be payable no later than seven (7) calendar days prior to the confirmed installation date.
3.4 Payment made via credit card shall incur a surcharge of two and a half percent (2.5%) of the total transaction value.
4.1 All delivery times are estimates and time shall not be deemed to be of the essence.
4.2 The Seller shall not be liable for any direct or indirect loss arising from delayed delivery or installation.
4.3 The Goods shall be delivered to the address specified on the Buyer’s order unless otherwise agreed in writing.
4.4 In the event of failed delivery due to the Buyer’s unavailability or inaccuracy in information provided, the Seller reserves the right to impose additional charges for redelivery and associated expenses.
5.1 Orders for Goods which are bespoke, made-to-measure, or otherwise manufactured to the Buyer’s specification are non-cancellable and non-returnable upon order acceptance.
5.2 The cancellation rights under the Consumer Protection (Distance Selling) Regulations 2000 are excluded pursuant to Regulation 13, as the Goods are custom-made.
5.3 The Seller reserves the right to cancel any order due to unavailability of stock or pricing errors, in which case the Buyer shall be notified and reimbursed within thirty (30) days of cancellation.
6.1 The Buyer is obliged to inspect the Goods upon delivery and prior to installation. Any alleged defects or discrepancies must be reported immediately.
6.2 The Seller shall not be liable for minor variations in colour, grain, or finish inherent in products manufactured from natural materials.
6.3 Tolerance of plus or minus two millimetres (±2mm), or up to six millimetres (±6mm) for MDF products, shall be deemed acceptable.
6.4 No warranty shall apply for fading due to sunlight or damage caused by exposure to damp conditions.
7.1 The Seller’s liability under this agreement shall be limited to the total price paid for the Goods by the Buyer.
7.2 The Seller shall not be liable for indirect, incidental, special, or consequential losses, including but not limited to loss of profit or damage to property.
7.3 Nothing in these Terms shall limit or exclude the Seller’s liability for death or personal injury resulting from its negligence or for any matter for which liability cannot be lawfully excluded.
8.1 Where measurements are provided by the Buyer, the Seller shall not be liable for errors arising from incorrect dimensions.
8.2 Installation may necessitate modifications, including but not limited to the application of sealant, filler, or cover strips, to address non-level surfaces or irregular openings. Such practices shall be carried out in accordance with industry standards.
9.1 All content, including images, designs, logos, and written material found on the Seller’s website remains the exclusive intellectual property of the Seller and may not be reproduced or distributed without prior written consent.
10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
10.2 The parties irrevocably submit to the exclusive jurisdiction of the English courts in respect of any dispute arising from or in connection with this agreement.
